L&T advises ProcureTech shareholders in sale to ORO Labs

25th March 2025

Lee & Thompson is pleased to have acted for the shareholders of ProcureTech, the digital accelerator advancing the future of procurement, on the sale of the company to ORO Labs, the market’s leading enterprise-grade intake management and procurement orchestration platform.

This high-profile cross-border acquisition marks a significant milestone in the evolution of procurement technology. As enterprises continue to grapple with fragmented tech stacks and complex procurement processes, the acquisition positions ORO Labs to drive global growth, deepen strategic partnerships, and accelerate adoption of its GenAI-powered orchestration platform.

ProcureTech has earned recognition for its curated marketplace and innovation programmes that support procurement leaders in identifying, adopting and scaling digital solutions. The integration with ORO Labs will unlock new opportunities for co-innovation and procurement value creation on a global scale.

Lee & Thompson advised the ProcureTech shareholders throughout the deal lifecycle, delivering strategic legal advice across corporate, technology and cross-jurisdictional issues. The team was led by Andy Moseby, senior corporate partner, with support from Danielle Lobel-Weiss and Ellie Burston (employment) and Aarti Shah, Liv Graham and Jack Walmsley (corporate).

Andy Moseby commented:“This is an incredibly exciting deal at the heart of the digital procurement transformation. ORO and ProcureTech share a clear vision for a connected, intelligent future — and this transaction represents a major step forward for the industry. We’re proud to have supported the shareholders of ProcureTech in achieving a strong outcome, and this deal further reinforces our position as a go-to adviser on complex, cross-border tech transactions.”

Lance Younger, CEO of ProcureTech, who has been named ORO’s new Executive Vice President, EMEA and Global Alliances, said “Andy and the Lee & Thompson team were the perfect partner throughout the process, from exceptional and timely advice through to flawless guidance and execution.”

This acquisition adds to Lee & Thompson’s growing track record in advising on strategic deals across the technology and digital infrastructure space, particularly where legal complexity meets innovation.
